Holding and distribution pattern under operating agreement     In general, the operating agreement of Overlook Apartments Investors provides that operating cash flows are distributed to members first to Overlook Apartments Member and then to Overlook 2C/3B based on a 6.5 percent preferred return on each members' capital balance in priorities as detailed in the operating agreement. Excess operating cash flows are distributed to the members in accordance with their ownership percentages.     The operating agreement of Overlook 2C/3B provides, among other things, for the distribution of net operating cash flow to the members, as follows:First, to each member in proportion to and to the extent of such member's unrecovered return of nine percent on unrecovered capital; andSecond, to the members in accordance with their ownership percentages.
