Item 1.01 Entry Into A Material Definitive Agreement.
On April 10, 2012, Mack-Cali Realty, L.P. (the Company), the operating partnership of Mack-Cali Realty Corporation (the General Partner), priced an offering (the Offering) of $300 million of senior unsecured notes (the Notes). The Notes mature on April 18, 2022 and bear interest at 4.500%, with interest payable semiannually on April 15 and October 15 of each year outstanding, beginning October 15, 2012. The Company estimates that it will receive net proceeds of approximately $296.8 million from the sale of the Notes which are intended to be used to repay outstanding borrowings under the Companys unsecured revolving credit facility and for general corporate purposes, which may include the purchasing or retiring of some of the Companys outstanding debt securities. The Company may redeem the Notes at any time upon payment of a make-whole amount. The closing of the Offering is expected to occur on April 19, 2012.
BofA Merrill Lynch, Citigroup and J.P. Morgan acted as joint book-running managers for the Offering. BB&T Capital Markets, BNY Mellon Capital Markets, LLC, Capital One Southcoast, Comerica Securities, Deutsche Bank Securities, Mitsubishi UFJ Securities, PNC Capital Markets LLC, RBS, SunTrust Robinson Humphrey, TD Securities, US Bancorp and Wells Fargo Securities acted as co-managers for the Offering.
In connection with the Offering, the Company and the General Partner entered into an underwriting agreement (the Underwriting Agreement) with BofA Merrill Lynch, Citigroup and J.P. Morgan, as representatives of the several underwriters (the Underwriters). The terms of the Underwriting Agreement, which provide for the sale of the Notes to the Underwriters, are as set forth in the preceding paragraph. A copy of the Underwriting Agreement is filed herewith as Exhibit 1.1.
