Item 1.01 Entry Into A Material Definitive Agreement.
On August 5, 2009, Mack-Cali Realty, L.P. (the Company), the operating partnership of Mack-Cali Realty Corporation (the General Partner), priced an offering (the Offering) of $250 million of senior unsecured notes (the Notes). The Notes mature on August 15, 2019 and bear interest at 7.750%, with interest payable semiannually on February 15 and August 15 of each year outstanding, beginning February 15, 2010. The Company estimates that it will receive net proceeds of approximately $245.6 million from the sale of the Notes which are intended to be used for general corporate purposes, which may include the purchasing or retiring of some of the Companys outstanding debt securities. The Company may redeem the Notes at any time upon payment of a make-whole amount. The closing of the Offering is expected to occur on August 14, 2009.
In connection with the Offering, the Company and the General Partner entered into an underwriting agreement (the Underwriting Agreement) with Citigroup Global Markets Inc., Banc of America Securities LLC and J.P. Morgan Securities Inc., as representatives of the several underwriters named therein (the Underwriters). The terms of the Underwriting Agreement, which provide for the sale of the Notes to the Underwriters, are as set forth in the preceding paragraph. A copy of the Underwriting Agreement is filed herewith as Exhibit 1.1.
